Is it really worth getting a mod chip for my ps2 and importing this game? What am I missing out on? and is this game import friendly (english text, ect)

You're getting about 8 or 9 new cutscenes in the game (which are all available on Youtube, complete with translations), a new Drive Form called Limit Form (which you can use on your own), a new Critical Mode for battles (which is more difficult than Proud), a new hidden boss battle with Terra's Armour in the wastelands we see in Birth by Sleep aaaaaaaaand a few new pieces of equipment/some new Heartless.

i already got re chain, but is it true that you fight all the organization xiii members in the game?
Forgot about that. There's something you can unlock in the game that opens up little portals with floating weapons on them and the weapons relate to the members of the Organization that were eliminated in CoM. So, technically, you can fight all XIII members of the Organization in this game. You also get a scripted boss battle with Roxas at Memory Skyscraper (you get to play the fight instead of watching a cutscene). I think that's everything.

To add on what Dave said (I have the game), on Critical Mode, enemies deal four times the damage they would do on Standard plus you only have half the max HP.
There's a new area to explore called the Cavern Of Remembrance where you can re-fight any of the organization members including the ones from Chain Of Memories. (a much harder version)
There is a new element added called Light, to which I think it's added to one Keyblade and Magnet magic, and a few bosses are light elemental.
You can also fight Roxas now instead of a cutscene. T
here are also more mini-games such as the puzzle piece collection and the XIII Mushrooms.
And on top of that, new abilities, two new Keyblades, new weapons and armour to synthesis and collect, new secret ending...and other things.
