Fly the ragnarok over the ocean to the bottom-left of the world map. Here you will come across an underwater research facility. This area is not indicated on your map but just hover around that general area and you'll find it. In here you'll have to make your way down the various levels of floor and encounter him at the bottom.
If you haven't found Ultima Weapon then that means you haven't yet acquired Bahamut! Well here's a link that will help you get both Bahamut and locate Ultima Weapon.
