Th e planet is dying because of all the Mako energy being used. Materia contains the wisdom of the planet. So surely they want to steal it so they can keep it save. And sephirot also said :'The knowledge and wisdom of the Ancients is held in the materia. Anyone with this knowledge can freely use the powers of the land and the Planet.' So they don't want that power to be in the hands of shinra right?
