i don't really think there is a "best" weapon, because they all kick some serious @$$....

The Death Penalty is sort of automatically the best as it always does max damage but it is more of a plot device then a real weapon so I say the Ultimate weapon.
To upgrade it you have to be so far through the game otherwise it does not give you the option. I think it is where you enter the ShinRa building.
